These Terms of Service ("Terms", "TOS") is a legal agreement between you or the entity that you represent ("You", "Your") and Esoftas, MB, a private limited company ("CarFinder", "We", "Our", "Us") governing all use of the https://carfinder.io website and all content, products and services available at or through the website ("Service").

By accessing any part of the website or the Service you indicate that you accept these Terms in full. If you do not accept these Terms in full, then please do not access and/or use the website and/or the Service.

You acknowledge that these Terms govern your use of the Service and constitute the entire agreement between you and CarFinder and take the place of any prior agreements between you and CarFinder (including, but not limited to, any prior versions of the Terms).

1. Subscription Terms

CarFinder operates on a monthly subscription model. By subscribing, you agree to pay the monthly subscription fee.

• All subscriptions are billed monthly on the same date each month.
• There are no long-term commitments, and you may cancel your subscription at any time.
• Once canceled, you will retain access to CarFinder until the end of the current billing cycle.
• We do not offer refunds for any unused portion of your subscription period.
• We do not sell the Service to you, but only grant you a license to use the Service according to these Terms.

2. Cancelation Policy

You may cancel your subscription at any time through your account settings. Once canceled, no further charges will be applied, and you can continue using the service until the end of the current billing cycle.

3. Service Availability

We will use commercially reasonable efforts to ensure that the Service is available 24 hours a day, 7 days a week.

• We reserve the right to deny access to the Service temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control. CarFinder shall not be liable if for any reason the Service is unavailable at any time or for any period.
• If your usage of the Service significantly exceeds the average of other CarFinder users, we reserve the right to immediately disable your account or limit bandwidth usage until you can reduce your bandwidth consumption to more normal levels.
• You acknowledge and understand that CarFinder uses third party vendors to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

4. Modifications to the Service

We may at any time change, revise, delete or discontinue (temporarily or permanently) the Service (or any part thereof) with or without notice. Your continued use of the Service, or any part or element thereof, after effective date of modification, shall indicate your consent to the modification.

5. Trial accounts

We may provide access to a trial account for the purpose of demonstrating the features and functionality of our Service. If, after the end of the trial period, you do not subscribe to a paid plan, we reserve the right to terminate your trial account and delete all data associated with it, without prior notice.

6. Privacy Policy

Your privacy is important to us. We collect only the information necessary to provide and improve our service.

• Your data will never be sold or shared with third parties for marketing purposes without your consent.

7. User Responsibilities

As a user of CarFinder, you agree to the following:

• You will provide accurate and up-to-date information during registration and maintain the accuracy of this information throughout your subscription.
• You will use CarFinder only for lawful purposes and in compliance with all applicable laws and regulations.
• You will not attempt to reverse-engineer or misuse our software in any way.
• You will not interfere with or disrupt the Service or servers or networks connected to the Service or impose an unreasonable or disproportionately large load on our infrastructure.
• You will not use any robot, spider, web crawler or any other program or device to gather and extract data from our Service.
• If multiple people need to use an account on behalf of your company, you may create separate accounts for as many people as you need and allowed by your chosen plan, by inviting them to join your account. You are responsible and liable for all users who have accounts under your account and all activity by users who have accounts under your account.
• You are responsible for the security of your account and confidentiality of your password and other sensitive information. CarFinder cannot be held responsible or liable for any loss or damage to you or to any third party from your failure to comply with this security obligation. If you have reason to believe that your account is no longer secure, you agree to notify us immediately in writing.

Payments

• Paying accounts are subject to monthly fees. A valid credit card or PayPal account is required to subscribe to paid plan. You agree to pay and hereby authorize us to bill your payment instrument in advance on a recurring basis. You represent and warrant to us that you are authorized to use such payment instrument.
• The Service is billed in advance on a monthly basis, unless agreed otherwise between parties. All charges are final, non-cancelable, and non-refundable.
• If for any reason we are unable to successfully bill your preferred payment instrument, we will retry for the next 7 days. If payment is not received within 7 days, we will suspend your account for another 60 days. If, within 60 days of suspending your account, the amount of any outstanding fees and charges is not paid to us in full, your account will be terminated and all your content, users, and data will be deleted.
• All fees issued by the Service are exclusive of all taxes, charges, levies, or duties imposed by taxing authorities. You are solely responsible for the payment of such taxes, charges, levies or duties. If we incur any tax obligation as a result of your purchase, we will invoice you for the taxed amount.

8. Intellectual Property

All content on the CarFinder platform, including but not limited to text, graphics, logos, and software, is the property of CarFinder or its content suppliers and is protected by intellectual property laws. You may not copy, modify, or distribute any of this content without our express written permission.

In addition, certain data and content available on the CarFinder platform may be sourced from third-party vendors, manufacturers, or other providers. All intellectual property, copyright, and other rights related to such third-party data and content belong to their respective owners. CarFinder does not claim ownership of such third-party data, and you may not use or distribute it in any manner that infringes on the rights of these parties.

9. Disclaimer of Warranties

CarFinder is provided on an "as-is" basis without any warranties of any kind. While we strive to provide accurate and up-to-date information, we do not guarantee the accuracy or completeness of the data on the platform.

10. Limitation of Liability

CarFinder, its affiliates, or partners shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or relating to the use or inability to use our service, even if advised of the possibility of such damages.

11. Amendments to Terms

We reserve the right to modify these Terms of Service at any time. You will be notified of significant changes, and continued use of the service constitutes acceptance of the revised terms.

12. Governing Law

These Terms will be governed by the laws of the Republic of Lithuania without regard to the conflicts of law provisions of any jurisdiction.
